Terms of Service

These Terms of Service (“Terms”) form a binding agreement between AppsBite (“we”, “us”, “our”) and you or the entity you represent (“you”). By accessing or using our websites, products, or services (the “Services”), you agree to these Terms.
1) Accounts & Eligibility
- You must have legal capacity and authority to accept these Terms.
- You are responsible for all activity under your account and for maintaining credential confidentiality.
2) Orders, Scope & Changes
Work may be defined in an order form, SoW, or proposal (“Order”). Changes require written agreement and may impact timeline and fees.
3) Fees, Invoicing & Taxes
- Fees and billing terms are outlined in the Order. Unless specified, invoices are due within 15 days.
- You are responsible for applicable taxes, duties, and government charges (excluding our income taxes).
- Late payments may incur interest and/or suspension of Services after notice.
4) Intellectual Property
- Your Materials: You retain ownership of content you provide; you grant us a limited license to use it to deliver the Services.
- Deliverables: Ownership or license terms for code, designs, or models will be stated in the Order (e.g., work-for-hire or licensed upon payment).
- Background IP & Open Source: We retain pre-existing tools, libraries, and know-how. Deliverables may include open-source components under their licenses.
5) Acceptable Use
- No illegal, harmful, infringing, or abusive activity.
- No attempts to breach security, reverse engineer (except where permitted), or disrupt Services.
- No misuse of AI outputs (e.g., to create misleading content without disclosure) or violation of third-party rights.
6) Third-Party Services & Dependencies
The Services may integrate third-party APIs, models, wallets, or cloud platforms. Your use is subject to those providers’ terms. We are not responsible for third-party outages.
7) Confidentiality & Privacy
- Each party will protect the other’s Confidential Information and use it only as needed to perform under these Terms.
- Our Privacy Policy explains how we handle Personal Data.
8) AI-Specific Terms
- AI outputs may be probabilistic and may contain errors; you are responsible for review and compliance.
- Unless the Order states otherwise, we may use de-identified usage data to improve models and guard against abuse.
- You must not input data you are not authorized to process and must respect data protection laws.
9) Blockchain-Specific Terms
- On-chain transactions are generally irreversible and subject to network fees, congestion, slippage, and smart-contract risk.
- You are solely responsible for your private keys, seed phrases, and wallet security.
- Compliance with applicable KYC/AML, sanctions, and securities laws is your responsibility unless our Order states otherwise.
10) IoT-Specific Terms
- You are responsible for safe device installation, local regulatory compliance, and ongoing maintenance.
- Telemetry and updates may affect device performance; appropriate testing and redundancy are recommended.
11) Warranties & Disclaimers
- Each party represents it has authority to enter these Terms.
- Except as stated in an Order, the Services are provided “as is” without warranties of any kind.
12) Limitation of Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or exemplary damages. Our aggregate liability under these Terms will not exceed the amounts paid by you to us in the 12 months preceding the claim.
13) Indemnification
You agree to indemnify and hold us harmless from claims arising out of your use of the Services, your content, or your violation of these Terms or applicable law.
14) Term, Suspension & Termination
- These Terms apply while you use the Services. Either party may terminate for material breach after notice and cure period.
- We may suspend Services for non-payment, security risks, or legal requirements.
15) Governing Law & Dispute Resolution
These Terms are governed by the laws of [Select jurisdiction, e.g., State of Delaware, USA / Republic of India], excluding conflict-of-law rules. Any dispute will be resolved by [court jurisdiction or binding arbitration forum]. You agree to the exclusive jurisdiction and venue of that forum.
16) Changes to the Terms
We may update these Terms from time to time. We will post the revised Terms with an updated Effective date. Your continued use of the Services constitutes acceptance.
17) Notices

18) General
- Entire Agreement: These Terms plus any Orders are the entire agreement.
- Assignment: You may not assign without our consent; we may assign in connection with corporate transactions.
- Force Majeure: Neither party is liable for delays due to events beyond reasonable control.
- Severability & Waiver: If a provision is unenforceable, the rest remains in effect; failure to enforce is not a waiver.
